By accessing or using Adonna ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

Adonna is operated by The Wow Factory, a Colorado-based company. These Terms are governed by the laws of the State of Colorado.

2. Description of Service

Adonna is a Client Intelligence Operating System designed for relationship-driven professionals. Our Service includes client management tools, relationship intelligence, workflow automation, meeting preparation, and related features.

3. Account Registration

To use our Service, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorised access

You are responsible for all activities that occur under your account.

4. Subscription and Payment

Pricing

Adonna is priced at $990 per month, billed annually. Membership is per book of business — your entire team is included at no additional cost. Prices are subject to change with notice.

Billing

• Subscriptions are billed annually in advance
• All fees are non-refundable except as described in our refund policy
• You authorise us to charge your payment method on file

Refund policy

We offer a 30-day satisfaction guarantee for new members. If Adonna does not deliver value within your first 30 days, contact us for a full refund.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Upload malicious code or attempt to compromise our systems
• Share your account credentials with unauthorised individuals
• Resell or redistribute our Service without permission
• Use the Service to send spam or unsolicited communications
• Violate any applicable laws or regulations
• Infringe on the rights of others

6. Your Data

Ownership

You retain all rights to your data. By using our Service, you grant us a limited licence to use your data solely to provide and improve our Service.

Responsibility

You are responsible for ensuring you have the right to input any data into our Service, including obtaining necessary consents from your clients.

Export

You may export your data at any time through our platform or by contacting support.

7. Intellectual Property

The Adonna name, logo, and all related trademarks, service marks, and trade names are owned by The Wow Factory. You may not use our intellectual property without prior written consent.

The Service, including its design, features, and code, is protected by copyright and other intellectual property laws.

8. Third-Party Integrations

Our Service may integrate with third-party services (e.g., CRM systems, email providers). Your use of these integrations is subject to the terms of those third-party services. We are not responsible for third-party services.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or security purposes.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, The Wow Factory shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless The Wow Factory and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

You may cancel your subscription at any time through your account settings or by contacting support. We may terminate or suspend your access for violation of these Terms or for any other reason with notice.

Upon termination, your right to use the Service ceases immediately. You may request a copy of your data within 30 days of termination.

14. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in Colorado, except where prohibited by law. You waive any right to participate in class action lawsuits.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Adonna.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any provision does not waive our right to enforce it later.
• Assignment: You may not assign these Terms without our consent.
